Legal Manager

This position is open to citizens of Azerbaijan due to local hiring regulations.
Responsibilities
- Provide legal advice and guidance to management and employees on legal, contractual, regulatory, and corporate governance matters.
- Ensure compliance with the applicable laws and regulations of the Republic of Azerbaijan and other jurisdictions relevant to the Company's operations.
- Draft, review, negotiate, and amend contracts, service agreements, subcontracts, confidentiality agreements, memoranda, and other legal documents to protect the Company's interests.
- Review commercial and contractual documentation, identify legal and commercial risks, and recommend appropriate risk mitigation measures.
- Prepare legal correspondence, notices, claims, legal opinions, reports, presentations, and other legal documentation.
- Support contract negotiations with clients, suppliers, subcontractors, and business partners by providing legal advice throughout the negotiation process.
- Represent the Company in dealings with external legal advisors, government authorities, regulatory bodies, clients, and other stakeholders..
- Prepare, submit, and manage legal filings, court documentation, regulatory submissions, and statutory applications where required.
- Establish and maintain an effective legal document management system to ensure legal records are properly maintained, controlled, and securely archived.
- Support internal audits, compliance reviews, corporate governance initiatives, and internal investigations.
- Coordinate all legal and administrative matters relating to Temporary Residence Permits (TRP), work permits, visas, and immigration

Requirements
- & Experience: Bachelor's degree in Law or an equivalent legal qualification.
- Strong knowledge of civil, commercial, corporate, labour, administrative, and contract law.
- Minimum 5–8 years of relevant legal experience, preferably within engineering, construction, fabrication, oil and gas, or industrial sectors.
- Experience in drafting, reviewing, negotiating, and administering commercial contracts and other legal documentation.
- Experience managing litigation, arbitration, claims, and dispute resolution.
- Knowledge of corporate governance principles and regulatory compliance

- Experience supporting corporate transactions, including company registrations, restructurings, mergers, acquisitions, and shareholder matters.
- Knowledge of the Labour Code of the Republic of Azerbaijan and other applicable legislation relating to employment, procurement, HSE, and commercial activities.
